Terms of Service

The short version: Maddy is an SMS-based AI marketing assistant for restaurants. You authorize Maddy to post and reply on your behalf across the platforms you connect. You can cancel any time by replying STOP, and you remain responsible for the content that goes out under your business name.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Maddy ("Maddy," "the Service," "we," "us," or "our"), operated by V, based in San Jose, CA. By signing up, texting Maddy, or otherwise using the Service, you ("you" or "Customer") agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and authorized to act on behalf of the restaurant you are signing up. By signing up, you represent that you are the owner of the restaurant or have been authorized by the owner to bind the business to these Terms.

Maddy is an AI-powered marketing assistant operated through SMS. With your authorization, Maddy will:

4. Connected accounts and OAuth

To operate, Maddy requires you to connect your Instagram Business account and (optionally) your Google Business Profile via OAuth. By connecting these accounts, you grant Maddy permission to act on your behalf — including posting content, replying to comments and DMs, and replying to reviews — for as long as your subscription is active. You can revoke this access at any time through the source platform or by canceling your Maddy subscription.

You remain bound by the terms of service of each connected platform (Instagram, Facebook, Google Business Profile, Yelp). You are responsible for ensuring Maddy's use of those platforms on your behalf complies with their rules.

5. Content and your responsibilities

You retain all rights to content you submit to Maddy (photos, menu items, captions you provide, brand voice descriptions, etc.). By submitting content, you grant Maddy a non-exclusive, royalty-free license to use, store, modify, and publish that content solely for the purpose of operating the Service on your behalf.

You are responsible for all content Maddy publishes under your accounts, including drafts you approve and content posted automatically under autopilot settings you have enabled. Maddy generates drafts based on your data and your settings, but you are the publisher of record.

7. SMS messaging and consent

Maddy AI is delivered primarily through SMS. By signing up and providing your phone number, you consent to receive automated and conversational text messages from Maddy AI at the number you provided, including:

Message frequency varies based on your restaurant's activity and your chosen autonomy level. Typical customers receive 5–30 messages per week. Message and data rates may apply depending on your mobile carrier and plan. Consent to receive marketing-related Maddy AI messages is not a condition of purchase.

You can opt out at any time by replying STOP to any Maddy AI text. Opting out will pause the Service — Maddy AI cannot operate without SMS. Reply HELP for help, or email v@getmaddy.com.

We work hard to keep Maddy running but cannot guarantee uninterrupted availability. The Service depends on third-party platforms (Instagram, Google, Yelp, Twilio, etc.) whose APIs may change, rate-limit, or go down without notice. We are not liable for outages, missed posts, or delayed replies caused by upstream service issues.

We may add, change, or remove features over time. If we materially reduce the Service in a way that affects you, we will notify you in advance via SMS or email.

11. AI-generated content disclaimer

Maddy uses large language models (including Anthropic Claude and OpenAI GPT-4o) to generate captions, replies, and other content. While Maddy is designed to ground its output in your actual restaurant data (menu, hours, brand voice), AI-generated content may contain errors, awkward phrasing, or unintended tone. You are responsible for reviewing drafts before approval, and for any content published under autopilot. We recommend starting in approval mode until you are comfortable with Maddy's output quality.

12. Intellectual property

Maddy, its software, AI orchestration, brand, and documentation are owned by us. These Terms do not grant you any ownership in the Service — only a limited, non-exclusive, non-transferable right to use it during your subscription. Content you submit remains yours, as described in Section 5.

13. Privacy

Your use of Maddy is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights. The Privacy Policy is incorporated into these Terms by reference.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or produce specific marketing results. We make no guarantees about follower growth, engagement, review ratings, or revenue.

15. Limitation of liability

To the maximum extent permitted by law, in no event will Maddy or its operator be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, data, or business opportunity, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

16. Indemnification

You agree to defend, indemnify, and hold harmless Maddy and its operator from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) content you submit or that Maddy publishes on your behalf with your authorization, (b) your violation of these Terms, (c) your violation of any third-party platform's terms, or (d) your violation of any law.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if your account becomes a risk to the Service or other users, or if continued operation becomes commercially impracticable. On termination, the provisions that by their nature should survive (including Sections 5, 6, 11, 14, 15, and 16) will survive.

18. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify active users via SMS or email before the changes take effect. The "last updated" date at the top of this page always reflects the current version. Continued use of the Service after a change constitutes acceptance of the updated Terms.
